Kellerhals Carrard advises on merger of eps Event Group with NÜSSLI (Schweiz) AG
Kellerhals Carrard advised eps Holding GmbH on all Swiss legal aspects of the merger between the eps Event Group and NÜSSLI (Schweiz) AG. The advice covered in particular the areas of M&A, tax law and acquisition financing. Kellerhals Carrard worked closely with the German law firm Friedrich Graf von Westphalen & Partner (FGvW), which led the advice to eps Holding GmbH.
The transaction brings together two world market leaders: eps, a leader in temporary turf and ground protection systems as well as crowd control, and NÜSSLI, a leader in grandstands, event structures, stadiums and special-purpose structures. The two companies also complement each other geographically through their strong presence in different regions and their focus on different customer segments.
The merger was financed by a banking consortium comprising well-known German banks and savings banks.
