Kellerhals Carrard with Neva SGR on Nouscom AG’s USD 135 million Series D

What if people with a high inherited risk of cancer could train their immune system to stop tumors before they start? Nouscom AG is working toward that goal. The Basel-based biotech company develops cancer immunotherapies that teach the immune system to recognize warning signs found on cancerous and precancerous cells. Its lead program, NOUS-209, is designed for people with Lynch Syndrome, an inherited condition that significantly increases the risk of developing several cancers over a lifetime.
Nouscom AG has closed a USD 135 million Series D financing round. The funds will support NOUS-209 as it advances toward a global clinical trial intended to provide the evidence needed for potential registration. Our client Neva SGR participated as a new investor in the round. Kellerhals Carrard acted as legal counsel to Neva SGR, along with our esteemed colleagues at Hogan Lovells Cadwalader.Neva SGR was also supported by the in-house legal team of Intesa Sanpaolo Group, Massimiliano Canelli and Marta Cubisino.
The round was co-led by M Ventures and Revelation Partners. Other new investors were Angelini Industries (through Angelini Investments) and the European Investment Bank (through Aurea, its co-investment facility with Angelini Ventures). Existing investors 5AM Ventures, Andera Partners, Angelini Ventures, Bpifrance (through its InnoBio2 fund), CDP Venture Capital (through its Large Ventures Fund), EQT Life Sciences, Indaco Venture Partners, Panakes Partners, Versant Ventures and XGEN Ventures also participated.
The Kellerhals Carrard core deal team consisted of:
· Luana Stämpfli (Lead, Partner, Corporate / VC)
· Marine Jorio (Associate, Corporate / VC)
· Céline Schmid (Counsel, Employment)
· Vera Vallone (Senior Associate, IP)
Congratulations to Neva SGR and Nouscom AG on this milestone. We value the opportunity to have supported the transaction and look forward to NOUS-209’s next clinical milestone.
